These Terms & Conditions apply to contracts for products and technical, advisory or installation services supplied by KOSTR. Mandatory consumer rights always remain applicable.

1. Identity and contact details

The online store www.kostr.be and the commercial activities carried out under the name KOSTR are operated by:

In these Terms & Conditions, SCREEN DESIGN BV, trading under the name KOSTR, is referred to as “KOSTR”, “we”, “us” or “our”.

2. Scope and customer status

These Terms & Conditions apply to the sale of products and to technical, advisory and installation services supplied by KOSTR. Any deviation is valid only when agreed in writing.

A specific quotation, order confirmation or service agreement takes precedence over these general terms for the subject expressly covered by that document.

A “consumer” is a natural person acting primarily for purposes outside their trade, business, craft or professional activity. A “professional customer” or “B2B customer” acts in connection with a professional activity.

The customer must provide correct information about their status. The use of a company or VAT number is an important indication of professional status, but is not conclusive where the purchase is in reality made for private purposes.

Mandatory consumer rights always remain applicable. Provisions expressly intended for professional customers apply only to B2B customers.

3. Product information and technical characteristics

KOSTR takes reasonable care when preparing product descriptions, images, technical documentation and compatibility information.

Minor differences in colour, texture or dimensions may occur because of the nature of the material, manufacturing tolerances, screen settings or photographic lighting. Technical values apply within the tolerances and operating conditions specified by the manufacturer.

IP ratings, IK ratings, lumen output, colour temperature, beam angle, dimming compatibility and expected lifetime assume the correct selection, installation, power supply, connection, sealing, ventilation and application of the product.

The customer must verify before ordering that the product is suitable for the intended project, environment, electrical installation and control system. If suitability or compatibility is unclear, the customer should request advice from KOSTR before placing the order.

Free preliminary support is indicative and is based on the information supplied by the customer. A technical design, lighting study, site visit, execution plan, calculation or responsibility for the installation forms part of the contract only when it is expressly included in a quotation or assignment.

4. Offers, orders and conclusion of the contract

Products, prices and availability shown on the website constitute an invitation to place an order. After submitting an order, the customer receives an electronic acknowledgement of receipt.

The contract is concluded when KOSTR expressly confirms the order or begins its performance, subject to mandatory rules under which the contract may be concluded at an earlier moment.

KOSTR may refuse or cancel an order for a justified reason, including:

  • an obvious pricing, description or data-entry error;
  • product unavailability;
  • a failed or refused payment;
  • reasonable indications of fraud or misuse;
  • applicable export or sanctions restrictions;
  • a technically incompatible or impossible product combination; or
  • an unreasonable credit risk for a sale on invoice.

Any amount already received for products or services that will not be supplied is refunded without undue delay.

A quotation remains valid for the period stated in that quotation. It covers only the products, quantities, work and assumptions expressly described. Changes requested by the customer may affect the price, planning and delivery period.

5. Online ordering, corrections and archiving

During the online ordering process, the customer selects the product, variant and quantity, checks the shopping cart, enters contact, billing and delivery details and chooses from the available delivery and payment methods.

Before submitting the final order, the customer can review and correct the information entered and see the total amount payable. The final order button clearly indicates that placing the order creates an obligation to pay.

The contract may be concluded in the languages offered by the online store at that time. The customer can save or print the applicable Terms & Conditions before placing the order.

After the order is placed, the customer receives confirmation on a durable medium, generally by email, containing the essential order information and access to the applicable terms.

KOSTR stores order information electronically for contract performance, customer service, evidence and statutory administration. When customer accounts are available, customers may consult their orders through their account.

A customer may request a copy of their order information by emailing info.kostrexterior@gmail.com. Internal archiving does not make the contract publicly accessible to third parties.

6. Prices, VAT and discounts

Public prices intended for consumers are displayed inclusive of the applicable VAT unless clearly stated otherwise.

Prices displayed to signed-in professional customers may be shown excluding VAT where this is clearly and unambiguously indicated next to the price.

Before the final order is submitted, the applicable taxes, delivery charges and total amount are communicated to the customer.

A private customer in the Netherlands also pays VAT. For cross-border consumer sales, KOSTR applies the VAT rate and reporting arrangement required under the applicable VAT rules.

For a professional customer established in another EU Member State, intra-Community VAT treatment is applied only when all statutory requirements are satisfied, including a valid VAT identification number and sufficient evidence of transport to another Member State. Otherwise, the applicable VAT is charged.

Discount codes, project discounts and B2B discounts are valid only under the conditions communicated with them. They:

  • cannot be exchanged for cash;
  • do not apply retroactively; and
  • cannot be combined unless KOSTR expressly permits this.

A discount granted for an earlier order does not create a right to the same discount for future orders.

If an obvious pricing error should reasonably have been recognised as an error by the customer, KOSTR may correct or cancel the order. KOSTR will contact the customer and refund any amount received where applicable.

7. Payment

General payment conditions

The available electronic payment methods are displayed during checkout. Consumers and professional customers without an approved credit arrangement generally pay the full amount when placing the order.

KOSTR may require a deposit or full advance payment for specially ordered products, custom-made goods, larger project orders or services.

Professional customers

  • The first B2B order is generally paid in advance.
  • An approved B2B account may receive a payment term of 14 calendar days from the invoice date, unless the quotation or invoice states another term.
  • A payment term of 30 calendar days applies only when KOSTR has approved that customer in writing for a 30-day payment term.
  • Approval for a 30-day payment term is customer-specific and does not need to be renewed for each ordinary order.
  • KOSTR may revise the credit conditions for future orders following late payment, a change in credit risk, an exceptionally large order, a specially ordered project order or the exceeding of an agreed credit limit.
  • A specific quotation or order confirmation may require advance payment, a deposit, instalments or another payment date for a particular project.

Where structured electronic invoicing is legally required, KOSTR provides the invoice in the required structured format. A PDF or other readable copy may additionally be supplied.

Late payment by consumers

In the event of late payment by a consumer, KOSTR applies the mandatory Belgian rules.

The first payment reminder is free of charge and the consumer receives the legally required waiting period. Only after that period may default interest or a fixed compensation be charged, and only within the statutory limits.

Late payment by professional customers

A B2B invoice that remains unpaid on its due date automatically gives rise, without prior notice of default, to the interest and recovery compensation due under the applicable legislation concerning late payment in commercial transactions.

This is without prejudice to KOSTR’s right to claim reasonable additional recovery costs where the statutory conditions are satisfied.

KOSTR may suspend further deliveries or services while due and payable invoices remain unpaid.

8. Delivery and performance

KOSTR delivers products in Belgium and the Netherlands. Installation and on-site services are generally performed only in Belgium unless otherwise agreed in writing.

The available delivery method, applicable price and estimated delivery period are stated during checkout or in the quotation or order confirmation.

Delivery periods are estimated as accurately as possible but remain estimates unless KOSTR expressly accepts a binding delivery date. KOSTR informs the customer of a material delay. Consumers retain all statutory rights relating to late delivery.

The customer must provide a complete and accurate delivery address, ensure that the location is accessible and, where KOSTR performs the delivery, provide a safe unloading location.

Reasonable additional costs arising solely from incorrect information, a refused delivery or a repeated delivery attempt may be charged to the customer where legally permitted and after the customer has been informed in advance or as soon as reasonably possible.

9. Retention of title and transfer of risk

Delivered goods remain the property of KOSTR until all amounts due for those goods have been paid in full.

For consumers, the risk of loss or damage passes only when the consumer, or a third party designated by the consumer other than the carrier, physically receives the goods. Different rules may apply where the consumer independently chooses a carrier that was not offered by KOSTR.

For professional customers, risk passes at the agreed delivery moment, without affecting KOSTR’s retention of title.

A professional customer must keep unpaid goods identifiable and may not pledge them or transfer them as security.

If goods are processed or resold despite the retention of title, KOSTR retains its statutory rights to the extent permitted by law.

10. Force majeure

Neither party is liable for a failure that directly results from an unforeseeable and reasonably unavoidable event outside its control.

Such events may include serious transport disruption, natural disaster, fire, war, government action, prolonged electricity or communication failure, epidemic, a strike outside the affected party or an unexpected production stoppage at an essential manufacturer.

The affected party must inform the other party and take reasonable measures to limit the consequences.

If the force-majeure situation continues for a substantial period, either party may terminate the unperformed part of the contract without compensation. Amounts paid for products or services that will not be supplied are refunded. Mandatory consumer rights remain applicable.

11. Liability

KOSTR is liable in accordance with applicable law for damage resulting from a failure attributable to KOSTR.

Nothing in these Terms & Conditions limits or excludes liability for fraud, intentional misconduct, personal injury or any other liability that cannot legally be limited or excluded.

To the extent that there is a causal connection, KOSTR is not responsible for damage caused exclusively by:

  • incorrect or incomplete information supplied by the customer;
  • use outside the product specifications;
  • an incompatible driver, power supply, dimmer or control system;
  • incorrect, unsafe or non-compliant installation;
  • modifications or repairs performed by third parties;
  • inadequate maintenance;
  • normal wear and tear; or
  • failure to follow product, installation, maintenance or safety instructions.

For professional customers and to the extent legally permitted, KOSTR is liable only for direct and reasonably foreseeable damage.

KOSTR’s total contractual liability towards a professional customer is limited to the amount paid by the applicable liability insurer for the relevant claim.

If no insurance coverage is available for a reason not attributable to KOSTR, liability is limited to the amount excluding VAT invoiced for the product, delivery or service concerned. This limitation does not apply where it is prohibited by law.

12. Personal data and intellectual property

KOSTR processes personal data in accordance with the Privacy Policy available on the website.

Product descriptions, photographs, images, drawings, lighting studies, quotations, calculations, designs, technical documents and other content belonging to KOSTR or its suppliers remain protected by copyright and other intellectual-property rights.

The customer may use project-specific documents for the project for which they were supplied. Such documents may not be commercially reused, distributed, reproduced or modified outside that purpose without prior permission from the relevant rights holder.

13. Complaints, applicable law and disputes

Complaints should first be submitted to info.kostrexterior@gmail.com. Please include the order or invoice number, a clear description and any relevant photographs or documents.

KOSTR will examine the complaint and attempt to reach an amicable solution within a reasonable period.

Belgian law applies to the contract. This choice of law does not deprive a consumer of the protection provided by mandatory provisions of the country in which the consumer habitually resides where those provisions apply under the relevant rules of private international law.

Disputes with professional customers fall, to the extent legally permitted, within the jurisdiction of the courts of the judicial district in which KOSTR’s registered office is located.

A consumer may bring proceedings before the competent court determined by the mandatory rules applicable to consumer contracts.

After first attempting to resolve a complaint directly with KOSTR, a consumer may also request free mediation through the Belgian Consumer Mediation Service.

Using the mediation service does not restrict the consumer’s right to bring the dispute before a competent court.

14. Final provisions

If any provision of these Terms & Conditions is wholly or partly invalid or unenforceable, the remaining provisions continue to apply.

Where possible, the invalid provision will be replaced by a valid provision that most closely reflects its intended purpose without affecting mandatory rights.

KOSTR may amend these Terms & Conditions for future contracts. The version accepted when an existing contract was concluded continues to apply to that contract, unless an immediate amendment is required by law or the parties agree otherwise.

Where different language versions are available, the Dutch-language version serves as the reference text to the extent permitted by law and without prejudice to mandatory consumer rights.
